Press release regarding the payment of interim dividends for the financial year 2022 and the

procedure availability for the dividend's payment

The company CHIMCOMPLEX S.A. BORZESTI informs the shareholders and interested investors about the distribution of the interim dividends related to the financial year 2022, granted according to the Decision of the Ordinary General Meeting of Shareholders from November 28, 2022, following which it was approved the distribution of the amount of 127,000,000 lei (gross amount), as interim dividends, starting with December 29, 2022 (Payment date), through the Central Depository SA, the Participants in the clearing-settlement system and register (Participants) and CEC BANK S.A.- the selected paying agent.

The gross dividend is 0.416519 lei for one share, and the related dividend tax will be withheld at source in the rates provided by law or other specific regulations.

The dividend payment will be made to the shareholders of CHIMCOMPLEX S.A. BORZESTI registered in the Shareholders' Register kept by the Central Depository SA, on December 16, 2022 (Registration Date), approved by the Ordinary General Meeting of Shareholders on November 28, 2022 (ex-date15.12.2022).

All costs related to the receipt of dividends by the shareholders, regardless of the method of payment, will be borne by the Issuer, except for the costs of registering the IBAN accounts mentioned in items 4.A.1.a) and b) of the Dividend Payment Procedure.

The procedure regarding the payment of interim dividends related to the financial year 2022 is posted on the website of the www.chimcomplex.com / Investors section, as well as on the website of the Central Depository S.A. Bucharest.
