Atlas Fund IV Submits Nomination and Bylaw Proposals to BJ's Restaurants

On March 6, 2024, Atlas Fund IV, announced that on February 28, 2024, in accordance with the Amended and Restated Bylaws of BJ's Restaurants, Inc, adopted August 14, 2020 (the Bylaws), delivered to the Company formal notice of its decision to propose the nomination of, and to nominate, Jeffery Crivello and Patrick Walsh for election to the Company?s board of directors at the Company?s first annual meeting of shareholders of the Company to occur after February 28, 2024. Atlas Fund IV also notified the Company, pursuant to the notice, of its decision to propose and to bring before the 2024 Annual Meeting an additional shareholder proposal to repeal each provision of, or amendment to, the Bylaws adopted by the Board without the approval of the shareholders of the Company subsequent to August 14, 2020, which is the date of the most recent publicly available amendment to the Bylaws.
BJ's Restaurants, Inc. is a casual dining restaurant. The Companyâs restaurants feature a menu with approximately 100 menu items designed to offer various items, including slow roasted entrees, such as prime rib, EnLIGHTened Entrees, such as Cherry Chipotle Glazed Salmon, original signature deep-dish pizza, the Pizookie dessert and BJs craft beers. Its craft beer is produced at five in-house brewing facilities and by independent third-party brewers using its recipes. The Company is a national restaurant chain, which owns and operates approximately 200 casual dining restaurants located in 30 states, including Alabama, Arizona, Arkansas, California, Colorado, Connecticut, Florida, Illinois, Indiana, Kansas, Kentucky, Louisiana, Maryland, Massachusetts, Michigan, Nevada, New Jersey, New Mexico, New York, North Carolina, Ohio, Oklahoma, Oregon, Pennsylvania, Rhode Island, South Carolina, Tennessee, Texas, Virginia and Washington.
