Banco BMG S.A. (BOVESPA:BMGB4) entered into a binding memorandum of understanding to acquire additional 6.81% stake in Granito Soluções em Pagamentos SA from Messrs. Rodrigo Luiz Machado Teixeira, Roberto dos Santos Masotti, Henrique Fernando Lucas and Adriano Alimena Del Grande for approximately BRL 7.5 million on November 17, 2020. In a related transaction Banco Inter S.A. entered into a binding Memorandum of Understanding to subscribe 45% stake in Granito for BRL 90 million. After both transaction Banco BMG will hold 45% stake, Banco Inter will hold 45% stake and remaining 10% will be collectively held by Messrs. Rodrigo Luiz Machado Teixeira, Roberto dos Santos Masotti, Henrique Fernando Lucas and Adriano Alimena Del Grande. In March 2020, Total liabilities were BRL 0.012 million of Granito Soluções em Pagamentos. Completion of the transaction will be subject to certain suspensive conditions customary to this type of transaction, including approval by the Central Bank of Brazil (BACEN) and Administrative Council for Economic Defense (CADE).
