RIGHTS OFFER FINALISATION ANNOUNCEMENT AND DISTRIBUTION OF RIGHTS OFFER CIRCULAR

1. FINALISATION ANNOUNCEMENT
   Shareholders of Ascendis ("Shareholders") are referred to the announcement released on SENS on 26 July 2022 wherein Shareholders advised that the board of directors of Ascendis has resolved to raise an amount of R101 530 000 by way of a fully underwritten non-renounceable rights offer (the "Rights Offer"), through an offer of 143 000 000 new Ascendis shares at an issue price of 71 cents per share, in the ratio of 29.70633 Rights Offer Shares for every 100 Ascendis Shares held on the record date for participating in such Rights Offer.
   Shareholders are also referred to the declaration announcement, release on SENS on 1 August 2022 (the
   "Declaration Announcement"), setting out the salient dates and times for the Rights Offer. Shareholders are advised that Rights Offer is unconditional. There have been no changes to the salient dates and times for the Rights Offer, as detailed in the Declaration Announcement. Accordingly, the Rights Offer will be implemented in accordance with the salient dates and times set out in the Declaration Announcement.
2. DISTRIBUTION OF CIRCULAR
   A circular containing full details of the terms of the Rights Offer and a form of instruction in respect of letters of allocation (the "Circular") will be made available on Ascendis' website (https://ascendishealth.com/investor- relations/circulars/) on Friday, 5 August 2022.
   The Circular will be distributed to certificated shareholders on Thursday, 11 August 2022.

The Circular will be distributed to dematerialised shareholders on Monday, 15 August 2022.
