Arion Bank: Nomination Committee's report and information on candidates
The Annual General Meeting of Arion Bank will be held at the Bank's head office at Borgartún 19, 105 Reykjavík, at 16:00 Icelandic time on 13 March 2024. Shareholders will also have the option of attending by electronic means. The meeting will be conducted in Icelandic, but translation services into English will be available. Registration deadline for shareholders is 12 March 2024 at 16:00 Icelandic time. Important timings for SDR holders and more detailed information and instructions are available on the Bank's website www.arionbanki.is/gm.
The Bank's Nomination Committee has an advisory role when it comes to the election of Board members and submits a reasoned proposal at shareholders' meetings where election of Board members is on the agenda, of candidates to serve on the Board. For further information on the Committee's role, please see the Committee's Rules of Procedure, which can be accessed here.
The following candidates have announced that they wish to stand for election to the Board of Directors of Arion Bank:
· Gunnar Sturluson
· Guðrún Johnsen
· Kristín Pétursdóttir
· Liv Fiksdahl
· Paul Horner
· Peter Franks
· Steinunn Kristín Þórðardóttir
The Nomination Committee has proposed the following candidates be elected to the Board of Directors of Arion Bank:
· Gunnar Sturluson
· Kristín Pétursdóttir
· Liv Fiksdahl
· Paul Horner
· Steinunn Kristín Þórðardóttir
The Nomination Committee also proposes that Paul Horner be elected as Chairman of the Board and that Kristín Pétursdóttir be elected as Vice Chairman.
Furthermore, the Committee has proposed the following candidates to serve on the Board of Directors as Alternate Directors:
- Sigurbjörg Ásta Jónsdóttir
- Einar Hugi Bjarnason

Please note that activities by the Nomination Committee, and its recommendation of candidates, does not limit a candidate's right to declare candidacy to the Board of Directors up to the general deadline for declaring candidacy. The general deadline for declaring candidacy to the Board of Directors expires five (5) days before the Annual General Meeting, or at 16:00 (GMT) on 8 March 2024.
The Nomination Committee has also proposed that the Board election will be executed so that the Board of Directors will comprise of five directors and two alternates, made a proposal on remuneration and other fees payable to the members of the Board of Directors. These have already been included in the proposals to the Annual General Meeting, announced on 20 February 2024.
