COMUNICADO AO MERCADO

AREZZO INDÚSTRIA E COMÉRCIO S.A. ("Companhia"), em continuidade ao Fato Relevante divulgado pela Companhia em 17 de janeiro de 2023 ("Fato Relevante"), vem comunicar aos seus acionistas e ao mercado em geral que o Conselho Administrativo de Defesa Econômica - CADE aprovou, sem restrições, por meio do Despacho SG n.º 232/23, a aquisição, pela Companhia, da Calçados Vicenza Ltda. ("Vicenza") ("Operação").

A Companhia esclarece que, caso não haja qualquer manifestação do Tribunal do CADE ou de um eventual terceiro interessado no período, em 10 de março de 2023 será publicada certidão atestando o trânsito em julgado da referida decisão, que será então considerada definitiva.

Conforme informado no Fato Relevante, a Operação ocorrerá por meio das seguintes etapas, subsequentes e conexas, após a transformação da Vicenza em sociedade por ações: (i) a aquisição, pela Companhia, de 60% (sessenta por cento) do capital social total e votante da Vicenza; e (ii) a incorporação, pela Companhia, das ações remanescentes da Vicenza, representativas de 40% (quarenta por cento) de seu capital social total e votante ("Incorporação de Ações"); assim, após a sua implementação, se for o caso, a Vicenza passará a ser integralmente detida pela Companhia.

A Incorporação de Ações será objeto de protocolo e justificação a ser oportunamente celebrado pelas administrações da Vicenza e da Companhia e a efetivação da Operação dependerá das aprovações societárias aplicáveis da Companhia.

Ressalta-se que a efetivação da Operação também está condicionada à verificação (ou renúncia, conforme aplicável) de outras condições precedentes.

A Companhia manterá seus acionistas e o mercado informados acerca dos andamentos relevantes relacionados aos assuntos aqui tratados.

NOTICE TO THE MARKET

AREZZO INDÚSTRIA E COMÉRCIO S.A. ("Company"), in continuity to the Material Fact disclosed by the Company on January 17, 2023 ("Material Fact"), hereby informs its shareholders and the market in general that the Administrative Council for Economic Defense - CADE approved, without restrictions, through Dispatch SG No. 232/23, the acquisition, by the Company, of Calçados Vicenza Ltda. ("Vicenza") ("Transaction").

The Company clarifies that, if there are no objections by CADE's Tribunal or any potential interest third party within the period, on March 10, 2023, a certificate attesting that the decision is final will be issued and such decision will then be deemed definitive.

As informed in the Material Fact, the Transaction will take place through the following subsequent and related steps after the transformation of Vicenza into a corporation: (i) the acquisition, by the Company, of 60% (sixty percent) of the total and voting capital stock of Vicenza; and (ii) the merger, by the Company, of the remaining shares of Vicenza, representing 40% (forty percent) of its total and voting capital stock ("Merger of Shares"); hence, after its implementation, as the case may be, Vicenza will be fully owned by the Company.

The Merger of Shares will be the object of the protocol and justification to be opportunely executed by the administrations of Vicenza and the Company and the effectiveness of the Transaction will depend upon the applicable corporate approvals of the Company.

The actual implementation of the Transaction is also conditioned to the satisfaction (or waiver, as applicable) of other conditions precedent.

The Company will keep the shareholders and the market informed of relevant updates related to the matters dealt with herein.
