Airpush, Inc. agreed to acquire appScatter Group plc (AIM:APPS) in a reverse merger transaction on April 9, 2019. Post completion of the transaction, appScatter Group plc will hold 25% and Airpush, Inc. will hold 75% in the enlarged capital of appScatter. appScatter Group plc will issue ordinary shares of £2.2 million, at 26.8 pence per share. The proposed merger of appScatter and Airpush will result in one business entity that will trade under the brand name 'Airnow' and appScatter's name will be changed to Airnow Plc with effect from completion of the acquisition. Upon completion of the acquisition of Airpush, the board will be expanded to include Stefans Keiss, the current Chief Executive Officer at Airpush, as Chief Operating Officer and two new Non-executive Directors Paul Wu, Chief Executive Officer of Carota, and Inman Breaux, Airpush President. Completion of the transaction is subject to certain conditions and approval from appScatter shareholders for the acquisition ans issuance of the consideration shares. The transaction is expected to be completed by early June 2019. Jonny Franklin-Adams, Hannah Boros and Edward Whiley of finnCap acted as the financial advisors to appScatter. On completion of the acquisition of Airpush the enlarged company has been renamed as Airnow plc. The target shareholders approved the transaction on December 17, 2019.
