The results of the 21st Annual General Meeting of the Members of ART Holdings Limited ("the Company") held on Thursday, 9 March,

2023 were as follows:

Ordinary Business
1	To note and approve the convening of the 21st AGM through a virtual platform.	Passed
2	To receive, consider and adopt the Audited Financial Statements of the Company for the year	Passed
	ended 30 September 2022 together with the Report of the Directors and Auditors thereon.
3.1	In terms of the Articles of Association of the Company, Mr Oakley retires by rotation at the	Passed
	Annual General Meeting and being eligible, offers himself for re-election.
3.2	Mr Steven Mupfurutsa having been appointed to the Board during the year, retires at the Annual	Passed
	General Meeting and being eligible offers himself for re-election.
3.3	Mr T.I. Baik having been appointed to the Board during the year, retires at the Annual General	Passed
	Meeting and being eligible offers himself for re-election.
4	To approve Directors' fees for the year ended 30 September 2022.	Passed
5	To re-appoint Grant Thornton Chartered Accountants as auditors and approve the auditor's	Passed
	remuneration for the past year.
