Article 7:149 of the Belgian Companies and Associations Code (BCC) requires that Xior Student Housing NV (the "Company") puts its remuneration report up for a separate advisory vote by its shareholders. The remuneration report can be found in Section 6.1.17 of the Annual Financial Report of 2023.

While the Company had every intention to include this separate advisory vote on the agenda (as it has always done in the past), due to an unintentional technical error this agenda item was omitted from the final published version of the convening notice for our ordinary general meeting of 16 May 2024. Since it is not legally possible for the Company to amend the agenda for the upcoming ordinary general meeting, the Board of Directors has decided that this agenda item will be added to the agenda of an extraordinary general meeting to be held on a date prior to the convocation date of the ordinary general meeting of next year. This will ensure that the Company's shareholders can exercise their advisory vote on the remuneration report of 2023 and that the Company can take their vote into account in the next remuneration report (as intended by Article 7:149 of the BCC).

The remuneration report will be presented during the ordinary general meeting of 16 May 2024 and any shareholders' questions regarding the report will be answered in accordance with Article 7:139 of the BCC. This presentation will be repeated at the abovementioned extraordinary general meeting, where again any shareholders' questions regarding the report will be answered in accordance with Article 7:139 of the BCC.
