Misonoza Theatrical Corp. (NSE:9664) announced a private placement of 30,000,000 common shares on March 18, 2013. The shares will be issued through third-party allocation. The price of shares is not yet determined. The payment date is August 12, 2013. The estimated amount to be received in the transaction will be ¥4,500,000,000, which is calculated with the closing price of its common shares in Nagoya Stock Exchange as of March 13, 2013. The net proceeds from the transaction will be ¥3,307,875,000, after deducting expenses of ¥35,000,000, including registration and license tax, printing expense of the prospectus, commission fee of the payment handling agency etc. The Chunichi Shimbun Co., Ltd. will hold 2.65% stake and Kizankai Medical Corporation, The Okazaki Shinkin Bank, Dainichi Co., Ltd., Tokai Tokyo Financial Holdings Inc., Toyota Motor Corporation, Nomura Holdings Inc., and Miyazaki Co., Ltd. will hold 1.63% stake each after the transaction.
