Item 2.06 Material Impairments.
On July 21, 2020, Tailored Brands, Inc. (the "Company") announced the
re-evaluation of the forecasted probability and strategic value of every store
in its store fleet relative to current and anticipated trends in consumer demand
and identified up to 500 stores for closure over time. As a result, in
connection with the preparation of the Company's financial statements for the
fiscal second quarter ended August 1, 2020, and after consulting with the Audit
Committee of the Company's Board of Directors, on August 26, 2020, the Company
concluded that it expects to record material non-cash impairment charges related
to the Company's long-lived assets, including assets at its stores and its Jos.
A. Bank tradename intangible asset. Although the amount of the charges has not
yet been finalized, the Company expects the impairment charges for the quarter
ended August 1, 2020 to be in the range of $30 million to $40 million. The
impairment charges are not expected to result in cash expenditures.
