SYN PROP & TECH S.A. ("SYN" or "Company"), a category A publicly held company registered with the Brazilian Securities and Exchange Commission ("CVM"), according to article 157, paragraph 4 of Law No. 6.404/76 and CVM Resolution No. 358/02 hereby informs its shareholders and the market in general that, on the date hereof, a general quota holders meeting of the "Fundo de Investimento Imobiliário Grand Plaza Shopping" ("Fund") was called regarding the partial spin-off of the Fund, with the transfer of the spun-off portion, corresponding to 61.41% of the Fund's assets, to a new real estate investment fund to be fully owned by the Company ("Syn Fund"). Under the terms of the proposed spin-off, mutual guarantees must be provided between the Fund and SYN Fund, as well as a Condominium Agreement must be entered into, in order to regulate the co-ownership relations of Grand Plaza Shopping and, thus, assure the continuation of good administration of the enterprise after the spin-off. The terms and conditions of the spin-off are described in the general quota holders meeting call notice and its effectiveness is subject to the approval of the Fund's aforementioned general meeting.
The Company reaffirms its commitment to keep its shareholders and the market in general informed regarding this and any other relevant matter.
