SYN PROP & TECH S.A. ("SYN" or "Company"), a category A publicly held company registered with the Brazilian Securities and Exchange Commission ("CVM"), according to article 157, paragraph 4 of Law No. 6.404/76 and CVM Resolution No. 358/02 hereby informs its shareholders and the market in general that, in continuation of material fact disclosed on December 6th, 2022, that, on the date hereof, the partial spin-off of Fundo de Investimento Imobiliário Grand Plaza Shopping ("Fund") was implemented, with the transfer of the spun-off portion, corresponding to 61.41% from the Fund's assets, to the assets of Fundo de Investimento Imobiliário Grand Plaza II, registered with CNPJ under No. 48.969.543/0001-48, wholly owned by the Company.
The Company reaffirms its commitment to keep its shareholders and the market in general informed regarding this and any other relevant matter.
