ANNUAL GENERAL MEETING

This letter contains information connected to the Company's annual general meeting, which is being convened at 11.00am on Tuesday 22 $XJXVWDW0DVWHUV&RXUW&KXUFK5RDG7KDPH2[IRUGVKLUH2;)$WRDPRQJVWRWKHUWKLQJVFRQVLGHUDQGLIWKRXJKWǥWSDVVWKH resolutions set out in full in the notice of annual general meeting which can be found at the end of this document.

Further detail on the resolutions to be proposed at the annual general meeting is below:

Resolution 1 - to receive and adopt the annual report and accounts

Resolutions 2 - re-appointment of Director

,QDFFRUGDQFHZLWKWKH&RPSDQǂVDUWLFOHVRIDVVRFLDWLRQDWHDFKDQQXDOJHQHUDOPHHWLQJDQ'LUHFWRUZKRKHOGRǧFHDWWKHWLPHRIWKHWZR preceding annual general meetings and who did not retire at either of them or who has been appointed by the board since the last annual general PHHWLQJVKDOOUHWLUHIURPRǧFH

Resolution 3 - re-election of auditors

In accordance with the Companies Act 2006 (the "Act"), the auditors of a public company must be appointed before the end of each meeting at which the Company's annual accounts are laid. The Directors are recommending that BDO LLP are re-appointed as the Company's independent DXGLWRUVDQGWKDWWKH'LUHFWRUVEHDXWKRULVHGWRǥ[WKHLUUHPXQHUDWLRQ

Resolution 4 - authority to allot shares

The Directors may allot shares and grant rights to subscribe for, or convert any security into, shares only if authorised to do so by the Company's shareholders. Resolution 4 will be proposed as an ordinary resolution to grant new authorities to allot shares and grant new authorities to allot shares and grant rights to subscribe for, or convert any security into, shares up to an aggregate nominal amount of £76,022.06 (representing 19,005,515 ordinary shares of 0.4 pence each), being approximately one third of the issued share capital as at 7 July 2023, the latest practicable date prior to publication of this document (the "Latest Practicable Date").

In addition, the resolution seeks authority for the Directors to allot shares by way of a pre-emptive rights issue up to an aggregate nominal amount of £76,022.06 (representing 19,005,515 ordinary shares of 0.4 pence each), being approximately one third of the issued share capital as at 7 July 2023, the Latest Practicable Date.

As at the Latest Practicable Date, options to subscribe for a total of 5,174,858 ordinary shares of 0.4 pence each were outstanding under the Company's employee share schemes representing nine per cent. of the issued share capital of the Company (excluding treasury shares) at that date and seven per cent. of the issued share capital of the Company (excluding treasury shares) if the authority sought by this resolution were to be exercised in full.

Resolution 5 - disapplication of pre-emption rights on the issue of share of cash

If shares are to be allotted using the authority under Resolution 4 and are to be paid for in cash, the Act requires that those equity securities are RIIHUHGǥUVWWRH[LVWLQJVKDUHKROGHUVSURUDWDWRWKHLUVKDUHKROGLQJDWWKDWWLPHUHIHUUHGWRDVǁSUHHPSWLRQULJKWVǂ7KH'LUHFWRUVUHTXLUHDXWKRULVDWLRQ from the shareholders to allot equity securities otherwise than on a pre-emptive basis. Accordingly, Resolution 5 will be proposed as a special resolution to grant such power to the Directors, in respect of the issue of securities pursuant to the authority proposed under Resolution 4. The resolution enables the Directors to allot shares in exchange for cash on a non-pre-emptive basis, but is limited to allotments of shares having an aggregate nominal value of up to £22,806.62 (representing 5,701,655 ordinary shares), being approximately 10 per cent. of the Company's issued share capital as at the Latest Practicable Date.

5HVROXWLRQVDQGSURYLGHǦH[LELOLWHQDEOLQJWKH'LUHFWRUVWRDFWLQWKHVKDUHKROGHUVǂLQWHUHVWVWRDOORWVHFXULWLHVIRUH[DPSOHLQRUGHUWRUDLVH FDSLWDODQGPDNHDFTXLVLWLRQVLIQHFHVVDU7KHDOORWPHQWRIVHFXULWLHVDERYHWKHVHOLPLWVZRXOGUHTXLUHVSHFLǥFDSSURYDORIWKHVKDUHKROGHUV Both resolutions are in line with institutional investor guidelines. The Directors have no present intention of exercising these authorities but wish to be empowered so that the Board can allot securities at short notice and without the need to hold a general meeting of the shareholders if the need arises.

Resolution 6 - on-market share buy-back

Resolution 6 will be proposed as a special resolution and seeks authority from shareholders for the Company to make market purchases of its own shares, such authority being limited to the purchase of up to ten per cent. of the ordinary shares in issue as at the Latest Practicable Date EHLQJRUGLQDUVKDUHV7KHSULFHSDDEOHVKDOOQRWEHPRUHWKDQǥYHSHUFHQWDERYHWKHDYHUDJHPDUNHWYDOXHIRUWKHRUGLQDUVKDUHV IRUWKHǥYHEXVLQHVVGDVEHIRUHWKHSXUFKDVHLVPDGHDQGLQDQHYHQWQRWPRUHWKDQWKHKLJKHURIWKHSULFHRIWKHODVWLQGHSHQGHQWWUDGHDQG the highest current independent purchase bid on the trading venue where the purchase was carried out and not less than 0.4 pence per share, being the nominal value of the ordinary shares.

7KHDXWKRULWVRXJKWLQ5HVROXWLRQZLOORQOEHH[HUFLVHGLI'LUHFWRUVFRQVLGHUWKHUHLVOLNHOWREHDEHQHǥFLDOLPSDFWRQNHVKDUHKROGHUPHWULFVDQG that it is in the best interests of the Company at the time.

The Company may either cancel any ordinary shares which it purchases under this authority or transfer them into treasury (and subsequently sell or transfer them out of treasury or cancel them). If the Company does choose to hold any ordinary shares purchased under this authority as treasury shares, this would give the Company the ability to re-issue treasury shares quickly and cost effectively and would provide the Company with greater ǦH[LELOLWLQWKHPDQDJHPHQWRILWVFDSLWDOEDVH

ACTION TO BE TAKEN

Annual General Meeting

Shareholders are asked to complete and return the enclosed Form of Proxy in accordance with the instructions printed thereon so as to be received as soon as possible and in any event by not later than 11:00am on Friday 18 August 2023.

If the Directors believe it has become necessary or appropriate to make alternative arrangements for the holding of the Annual General Meeting, it will ensure that shareholders are given as much notice as possible. Any further information will be made available by an announcement through a Regulatory Information Service and through the Company's website.

The Directors consider the resolutions to be proposed at the Annual General Meeting to be in the best interests of the Company and its shareholders as a whole. The Directors unanimously recommend that you vote in favour of the resolutions as they intend to do in respect of WKHLURZQEHQHǥFLDOKROGLQJV

ORDINARY BUSINESS

  1. To receive and adopt the Company's annual accounts for the year ended 31 March 2023, together with the Reports of the Directors and of the auditors thereon.
  2. To re-elect as a Director Oliver Scott, who retires in accordance with Article 115 of the Company's Articles of Association and offers himself for re-election.

4. THAT, the Board be and it is hereby generally and unconditionally authorised pursuant to section 551 of the Companies Act 2006 (in substitution for any existing authority to allot shares):

  1. to allot shares in the Company and to grant rights to subscribe for or to convert any security into shares in the Company up to an aggregate nominal amount of £76,022.06; and further
  2. to exercise all powers of the Company to allot equity securities (within the meaning of section 560 of the said Act) in connection with a rights issue in favour of ordinary shareholders where the equity securities respectively attributable to the interests of all ordinary shareholders are proportionate (as nearly as may be) to the respective numbers of ordinary shares held by them up to an aggregate nominal amount of £76,022.06,

  2. otherwise, than under paragraph (a) above, up to a nominal amount of £22,806.62,

    The vote of the senior holder who tenders a vote shall be accepted to the exclusion of the votes of the other joint holders, seniority for this purpose being determined by the order in which the names stand in the register of members in respect of joint holdings.

L[ ,QDFFRUGDQFHZLWK5HJXODWLRQRIWKH8QFHUWLǥFDWHG6HFXULWLHV5HJXODWLRQV only those whose names are on the register of members of the Company at 6:30pm two days (excluding non-working days) before the meeting or any adjourned meeting, shall be entitled to attend or vote at the meeting in respect of the number of shares registered in their name at that time. Changes to entries in the register of members after that time shall be disregarded in determining the rights of any person to attend or vote at the meeting.

  1. Any corporation which is a member can appoint one or more corporate representatives who may exercise on its behalf all of its powers as a member provided that they do not do so in relation to the same shares.
  2. As at 18 July 2023 (being the last business day prior to the publication of this Notice), the Company's issued share capital consisted of 57,016,550 ordinary shares, carrying one vote each.
  3. Except as provided above, shareholders wishing to communicate with the Company in relation to the Annual General Meeting should write to the Company Secretary, Smoove plc, Masters Court, Church Road, Thame, Oxfordshire,

  4. You may not use any electronic address provided either in this Notice or any related documents (including the proxy form) to communicate with the Company for any purposes other than those expressly stated.
