• Framework agreement signed by Neuberger Berman Renaissance Partners Holding S.à r.l. ("NB"), Galileo Otto S.à r.l ("Galileo"), Circular HoldCo S.p.A. ("HoldCo"), Circular BidCo S.p.A. ("BidCo") and Intesa Holding S.p.A. ("Intesa Holding"), the latter in its capacity as de facto controlling shareholder of Sicit Group S.p.A according to article 93 of Legislative Decree no. 58 of 24th February 1998,
• Shareholders' agreement signed by Intesa Holding, NB e Galileo
