Boon-aue Chitthanom, Suthipoj Ariyasuthiwong and Nattapong Seetavorarat signed a sale and purchase agreement to acquire 69.18% stake in One to One Contacts Public Company Limited (SET:OTO) from Samart Corporation Public Company Limited (SET:SAMART) and Samart Engineering Co., Ltd. for approximately THB 460 million on November 20, 2020. As on December 3, 2020, the agreement was amended and the buyers now include Boon-aue Chitthanom, Suthipoj Ariyasuthiwong, Nattapong Seetavorarat, Nopporn Achavakulthep, Apisit Honglawan, Suwit Cheewatham, Kanokrat Wongpapairoj and Virat Anurakpuitti. Under the terms of the transaction, buyers will acquire 193.7 million shares and pay THB 2.4 per share. The consideration value will be settled in cash. Samart Corporation Public Company Limited will sell 191.6 million shares (68.43%) of OTO for THB 459.84 million and Samart Engineering Co., Ltd. will sell 2.1 million shares (0.75%) of OTO for THB 5.04 million. Post-closing, the buyers will collectively own 69.18% stake in OTO with Suthipot Ariyasuthivong increasing stake to 18.88%, Boon-Aue Chitthanorm owning 13.57%, Nattapong Seetavorarat owning 16.07%, Nopporn Achavakulthep owning 10.25%, Apisit Honglawan owning 7.14%, Suwit Cheewatham owning 4.29% and Virat Anurakpuitti owning 3.57% stake in OTO. Post-completion of transaction, OTO will not be a subsidiary of SAMART.

Post-closing, the members of the Board of Directors of OTO will resign from their positions total of 6 persons including Chaisak Angkasuwan, Thananan Vilailuck, Sirichai Rasameechan, Teerachai Phongpanangam, Pongsri Saluckpetch and Rathian Srimongkol. OTO will appoint new directors assigned by buyers together with changes in authorities of OTO. The changes must be done within 1 business day after the closing date. The transaction is approved by the Board of Directors of SAMART. The transaction is expected to be completed within December 9, 2020. The use of proceeds will be utilized as working capital and debt repayment to financial institutions. SAMART will gain benefit from this transaction by increasing of the liquidity which create ability of the SAMART to pay debt.
