Mediaset España Comunicación S A : Board of Directors approves new management team organization

"MEDIASET ESPAÑA COMUNICACION, S.A." ("MEDIASET" or the "Company"), in accordance with the provisions of Article 227 of the revised text of the Securities Market Act, approved by Royal Legislative Decree 4/2015, of 23 October, hereby announces the following

In view of the decision made by Mr. Paolo Vasile to resign from his position as CEO of the Company on December 31, 2022, which was formally announced to the Board of Directors at its meeting on October 26, the Company began to evaluate the best option to proceed with his succession, guaranteeing an orderly and efficient transition that lives up to the highest expectations.

To this end, following a unanimous proposal from the Appointments and Remuneration Committee, the MEDIASET Board of Directors has unanimously decided during its meeting on Tuesday 8th of November, that it will agree:

• Appoint Mr. Alessandro Salem as CEO of the Company in view of his extensive experience, either in the publishing field, as current General Director of Contents of Rete Televisive Italiane (RTI), and in the advertising field, given his previous experience in Publitalia '80 and later in Publiespaña, of which he was General Manager and CEO.
• Appoint Mr. Massimo Musolino as CEO of the Company responsible for the Management and Operations areas, over which he has been successfully performing the position of General Manager, in order to ensure full continuity in the management of the company and its group of companies.
• Delegate to the President of the Company, Mr. Borja Prado, executive powers in matters of External and Institutional Relations, Legal and Regulatory Affairs, Internal Audit, Regulatory Compliance and Social Responsibility, which fall on the Corporate General Manager, Mr. Mario Rodríguez, who will report directly to Mr. Prado, being appointed as Deputy to the President. In addition, Mr. Prado will take on the tasks of supporting and collaborating with the editorial line of the news programmes.

Such appointments and delegations, which will be formally adopted in the near future, together with the recent appointment of Mr. Stefano Sala as the new CEO of Publiespaña, complete the main management team of MEDIASET ESPAÑA that will be effective as of January 1, 2023.
