(Stock Code: 1212) PROPOSED ISSUE OF U.S. DOLLAR-DENOMINATED GUARANTEED BONDS

The board of directors (the "Board") of Lifestyle International Holdings Limited ("Company", together with its subsidiaries, the "Group") wishes to announce that the Company intends to conduct an offering of fixed rate U.S. dollar-denominated guaranteed bonds to be issued by its wholly-owned subsidiary LS Finance (2017) Limited (the "Issuer") and guaranteed by the Company ("Offering").

The Company has appointed J.P. Morgan Securities plc ("J.P. Morgan") and UBS AG Hong Kong Branch ("UBS") as the joint global coordinators, and J.P. Morgan, UBS and Bank of China (Hong Kong) Limited as the joint bookrunners for the Offering.

The bonds, when issued, will constitute direct and unsecured obligations of the Issuer ranking pari passu and without any preference among themselves, and will be unconditionally and irrevocably guaranteed by the Company. It is expected that marketing of the bonds to selected potential institutional and professional investors will commence shortly after this announcement. The terms of the proposed bonds, including the aggregate principal amount, the offer price, the interest rate, maturity and the final terms and conditions of the bonds will

be determined by the Issuer and the Company through a book building exercise conducted by the joint global coordinators and the joint bookrunners.

The net proceeds of the Offering will be on-lent to the Company and/or its subsidiaries for general corporate purposes, including future acquisitions and investments in the Group's core business.

Application will be made to The Stock Exchange of Hong Kong Limited for listing of, and permission to deal in, the bonds by way of debt issues to professional investors only.

As no binding agreement in relation to the proposed issue of the bonds has been entered into as at the date of this announcement, the proposed issue of the bonds may or may not materialise. Shareholders of the Company and potential investors are advised to exercise caution when dealing in the securities of the Company.
