Subject:	The receiving of the Entire Business Transfer of Subsidiary

JWD InfoLogistics Public Company Limited (the "Company") would like to inform the receiving of the entire business transferring from JAPAC Holding Co., Ltd. ("JAPACH") to the Company. JAPAC is the Company's subsidiary, by the Company holding JAPAC's share at the proportion of 99.99%. The entire business transfer transaction has proceeded legally under the process and regulations of Entire Business Transfer. JAPACH had been registered for the company dissolution, then completed the liquidation process on 9 August 2022.

The aforesaid receiving of the entire business transfer is regarded as internal reorganization of entities under the same control to reduce operation expenditure of the group company. Therefore, this entire business transfer transaction does not affect the Company's operations, and neither is considered as a Connected Transaction nor deemed to be Acquisition or Disposal of Assets of Listed Companies in the Stock Exchange of Thailand.
