NOTICE TO THE MARKET

JSL S.A. (B3: JSLG3) ("JSL" or "Company"), a publicly-held corporation, in line with its transparent conduct, hereby informs that, as disclosed on June 10, 2021 in the Company's Material Fact, it has been executed the purchase and sale agreement for the acquisition of Transportes Marvel Ltda. ("Transaction"), through Riograndense Logística Ltda., a wholly-owned subsidiary of JSL.

The strategy behind the acquisition is in line with JSL's plan of organizing the Company's corporate structure aiming to maximize the value creation for shareholders and extract synergies. Hence, the Transaction will not depend on the resolution of the Company's general meeting, as provided for in art. 256 of Law No. 6.404/76.
