5.Cause of occurrence:The proposal for the capital reduction was
already approved n the 2022Annual General Shareholders' Meeting
held on June 27, 2022.
6.Countermeasures:
(1)According to the Articles 281, 73, and 74 of the Company Act.
(2)Through a resolution of the Company's General Meeting of Shareholders
on June 27, 2022,for the sake of enhancing the return on the shareholders'
equity through the adjustment of the capital structure, a cash capital
reduction and refund of share money to shareholders in the form of cash is
to be undertaken.
(3)The proposed capital reduction is NT$239,855,320 . It is estimated that
23,985,532 shares will be eliminated, the capital reduction ratio is 20%.
Shareholders will be refunded by NT$ 2.00 per holding share in cash.
The capital stock is NT$959,421,280 after reduction.
(4)After the proposal is approved reported to the competent authorities,
the chairman will be authorized to set the record date of the capital
reduction and replacement of shares.
(5)Any creditor having an objection to the proposal of the Company to
undertake the cash capital reduction and refund of share money to
shareholders in the form of cash is requested to submit documents certifying
creditor's rights in writing to the Company in the period between July 1,
2022 through July 31, 2022. If no objection is expressed within the time
limit, this shall be deemed as constituting consent to the capital
reduction. By the way ,After the raising of an objection by a creditor,
if the associated claims are transferred, then the right of objection shall
be forfeited and the corresponding objection that has been submitted to the
Company shall be deemed as having been withdrawn.
