ISSUE OF THE BOND 'INNOVATIVE-RFK S.P.A. - 4% 2021 - 2026'

Milan, 9.15.2021 - innovative-RFK S.p.A. (the 'Company') - reference is made to the previous related press release 4.16.2021 - holding company listed on Euronext Access - multilateral trading facility system organized by Euronext Paris S.A. - announces that it has issued with Banca Finint the bond loan 'innovative-RFK S.p.A. - 4% 2021 - 2026' (the 'Loan' or the so-called 'CharityBond'), subscribed for the total amount of Euro 530,000, consisting of n. 530 bonds. The issue was approved in execution of the resolution adopted by the Company's Board of Directors on 4.15.2021.

The loan was offered for subscription, through the online portal managed by CrowdFundMe S.p.A., to subjects falling within the categories identified pursuant to Article 24, paragraphs 2 and 2-quarter of the Crowdfunding Regulation. The Loan was mainly subscribed by Professional Investors, including Banca Valsabbina S.c.p.A..

The bonds are issued dematerialized under the centralization regime at Monte Titoli. The regulation of the Loan and the Admission Document are available on the online portal managed by CrowdFundMe S.p.A..

The Issuer undertakes to allocate annually an amount equal to 2% of the subscribed and non-extinguished value of the bond loan to one or more projects identified in coordination with the Lions Club Milano Bramante Cinque Giornate, the entity with which the Issuer has signed an agreement aimed at the use of these funds for so-called charity projects.

As part of the innovative-RFK S.p.A. transaction, it was assisted by the management company Kayak Srl, together with the Red Fish Legal Director Avv. Joanna Gualano.
