BOARD OF DIRECTORS MEETING ON MARCH 31, 2021
The board of directors of innovative - RFK S.p.A. on March 31, 2021 approved the draft financial statements for the year ended December 31, 2020 including the balance - sheet, the Income Statement and the supplementary note together with the Annual Report and resolved on the convening of the Shareholders' Meeting, delegating the Chairman of the Board of Directors and the managing director, dis jointly, to publish in the terms of applicable law the convocation of the shareholders' meeting in first call on May 5, 2021 and in second call on May 27, 2021.
The company at aggregate level with its participated companies, closes year 2020 with a turnover of about € 32 million (+22%) and a margin of significant progress.
The invested capital by the company, at the end of the 2020 financial year, amounted to € 8.6 million, invested in 7 investee companies, with a market valuation of approximately € 15.0 million and a share price of € 1.60 (+34% YoY),while as of March 31, 2021 the value per share is € 1.72.
The year closes with revenues for services of Euro 128.418, while the proceeds from participation amount to Euro 22.191.
The year just closed is characterized by the unexpected and unpredictable spread of the Covid 19 epidemic and sees a negative result of € -274,885.
The main component that affected the result derives from the limits on the distribution of dividends by the participated companies due to covid regulations that, where instead in 2019 dividends had contributed a positive balance of the financial component for 238,615.00 euros.
Regarding new investment operations, during 2020 the company invested in the following companies:
Reaxing S.r.l. : company that designs, develops and markets innovative products and applications for fitness and sports, based on 'Sudden Dynamic Impulse' SDI technology, also with a view to rehabilitation paths for sportsmen, as well as applications in the main chains and gyms.
Innovative - RFK entered the company's capital in August 2020, through a capital increase of € 250.000,00 corresponding to 7.15% of the company's shares, with the aim of accelerating the product development plan and expanding world wide business opportunities.
- Web al Chilo S.r.l. : Operates in the marketplace digital services industry, through a partnership with Amazon. Innovative - RFK entered in the company's capital in November 2020, through a share purchase for € 500.000,00 corresponding to 20% of the company's shares, with the aim of supporting the industrial plan and management, through structured growth that can better seize new business opportunities.
- Microcredito di Impresa S.p.a. : innovative - RFK has strengthened its presence in the capital by participating in a new capital increase worth € 315.000.00.
In addition, there are currently several potential investee companies subject to due diligence, potential companies in which doing an investment, which are expected to be materialized in the coming months.
The Board resolved to convene the Ordinary Shareholders' Meeting in first call on May 5, 2021 and in second call on May 27, 2021.
The Ordinary Shareholders' Meeting will be called upon to decide, on the approval of the financial statements at December 31, 2020, including the Report on the management of the Administrative Body, the report of the Board of Statutory Auditors and the Report of Audit Company, and on the appointment of the members of the new Board of Directors, determination of the relative number, duration in office as well as determination of the relative remuneration; related and consequent resolutions.
The Reports shall be made available on www.innovative-rfk.it website according to the Law.
