GRUPO FAMSA ANNOUNCES CHANGES IN ITS BOARD OF

DIRECTORS

Monterrey, Nuevo León, México, December 2nd, 2020. Grupo Famsa, S.A.B. de C.V. (BMV: GFAMSA), announces to the public in general, that the Board of Directors, in a session held today, has accepted the request for the temporary license as proprietary member and president of the Board of Directors of Mr. Humberto Garza Valdéz. Mr. Garza has stated that the reason for said request is based on the search that, given the challenging circumstances facing the company, the Board of Directors can have complete freedom to carry out decision- making that are more convenient for the same, without the possibility that the interests of the control group, which Mr. Garza represents, are opposed or confused with the interests of the company.

Meanwhile, Mr. Andrés Ochoa Bünsow, who has a successful career record of more than 40 years in several areas of law, among which stand out: transactional corporate law, corporate governance, corporate finance, mercantile, securities, mergers, acquisitions and foreign trade, will assume the Chairmanship of the Board of the company on a provisional basis. This resolution is still subject to ratification during the next General Shareholders' Meeting.

Likewise, the Board of Directors, in order to strengthen its integration, appointed to María Luisa Jiménez Rodríguez as Provisional Director with the Independent modality. Mrs. Jiménez had previously served as Alternate Independent Director of Grupo Famsa and is currently a member of the Executive Committee of the American Chamber Monterrey Chapter and member of Council National Director of the American Chamber Mexico.
