The Management Board of GRENEVIA S.A. of Katowice (the "Company") announces that, on September 12th 2023, Projekt Solartechnik Fundusz Inwestycyjny Zamknięty (the "Seller"), a company forming part of the Grenevia Group's solar PV segment (the "PV Segment"), entered into a preliminary agreement with KGHM POLSKA MIEDŹ S.A. (the "Investor") providing for sale of shares in four Project Companies owning a portfolio of solar farm projects (the "Preliminary Agreement") at a total estimated price (taking in account subrogation rights) of approximately PLN 210m. The transaction will be effected in four stages, taking place between October 2023 and the end of February 2024, after the agreed conditions have been satisfied.
As security for the Agreement, PROJEKT-SOLARTECHNIK Spółka Akcyjna, a company forming part of the Grenevia Group's solar PV segment (the "PV Segment"), provided the Investor with an irrevocable and unconditional surety guaranteeing the due and proper performance by the Seller of its monetary obligations under the Preliminary Agreement up to a maximum amount of PLN 190m. The Surety will be valid until the earliest of the following dates: the day of full, irrevocable and unconditional settlement by the Seller of all its obligations under the Preliminary Agreement or December 31st 2027.
