ANNOUNCEMENT

COMPLETION OF DISPOSAL OF GP INDUSTRIES MARKETING LIMITED

Unless otherwise defined, all terms and references used herein shall bear the same meanings as ascribed to them in the Announcement (as defined below).

The board of directors (the "Board") of GP Industries Limited (the "Company") refers to the announcement issued on 31 May 2021 (the "Announcement") in relation to the proposed disposal by the Company of the entire issued share capital of GP Industries Marketing Limited (金山工業貿易有限公司) ("GPIM"), together with its wholly owned subsidiary, Huizhou GP Wiring Technology Ltd. ( 惠州金山线束科技有限公司 ) ("GPWT") upon completion of the Reorganisation, to Time Interconnect Investment Limited.

The Board wishes to announce that:

1. all Conditions have been satisfied and Completion took place on 31 August 2021;
2. there was no adjustment to the Consideration; and
3. GPIM and GPWT ceased to be subsidiaries of the Company upon Completion.
