GMM Grammy Public Company Limited ("the Company") would like to inform that GDH 559 Company Limited ("GDH 559"), a subsidiary of the Company, will dispose total investment that GDH 559 holds in Nadao Bangkok Company Limited ("Nadao Bangkok"), which is 6,000 shares (equivalent to 30 % of the registered capital) to Mr.Songyos Sugmakanan. The total amount of transaction is Baht 6,948,780. Which is the disposal of investment in the subsidiary 's associate according to the investment management plan and business plan of the Company's subsidiary, in order to the flexibility of doing business for both shareholders. It is expected that the disposal of investment will be completed by the quarter 3-4/2022.

In this regard, the above transaction is classified as an investment disposal, which the transaction size is 0.73% based on the calculation of the value of the net tangible assets. The last 6-months accumulated value of total investment disposal of the Company, the highest transaction size is 2.74% based on the calculation of the value of the net tangible assets, which is below 15% of the latest consolidated financial statements of the Company and its subsidiaries as of March 31st, 2022, reviewed by the certified auditor. This transaction is not required for information report pursuant to the Notification of the Stock Exchange of Thailand Re: Disclosure of Information and Acts of Listed Company Concerning Acquisition and Disposal of Assets and is not the Connected Transaction. However, this report is in accordance with the disclosure of investment disposition in other companies resulting such company is no longer the listed company or the subsidiary 's associate.
