Provision of the minutes of the meeting

Shareholders are hereby informed that the Ordinary Shareholders' Meeting of Cellularline S.p.A., held on 24 April 2024, resolved, inter alia, to distribute an ordinary dividend of Euro 0.054 per share, gross of any withholding taxes. The Shareholders' Meeting also resolved to distribute as an extraordinary dividend a portion of the "Retained Earnings Reserve" in cash, in the amount of Euro 0.033 per share, and through the free assignment of treasury shares in the ratio of 1 share for every 64 ordinary shares held. The dividend will be paid on 22 May 2024, with the ex-dividend date (coupon no. 7) on 20 May 2024 and record date on 21 May 2024.

The minutes of the aforementioned Shareholders' Meeting will be made available to the public within the legal terms on the Company's website (www.cellularlinegroup.com), as well as at the authorised storage mechanism 1info at www.1info.it.
