Other Relevant Information

For the purpose of approving the amendment to the Primary Purpose, Second Article, Articles of Incorporation of Atok Big-Wedge Co., Inc. ("Company") to explicitly allow for the expansion into Renewable Energy, the written assent of stockholders owning at least two thirds (2/3) of the outstanding capital stock of the Company shall be solicited pursuant to requirements under the Revised Corporation Code of the Philippines.
