DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcements of Asiaray Media Group Limited (the "Company") dated 22 March 2021, 15 April 2021 and 23 April 2021 in relation to the major transaction regarding the Shenzhen Metro Lines Exclusive Concession Rights Agreement for Advertising and Media Resources (the "Announcements"). Capitalised terms used herein shall have the same meanings as those defined in the Announcements unless otherwise specified.

As set out in the Announcements, it was expected that the Company would despatch a circular (the "Circular") containing, among other matters, further information regarding the Shenzhen Metro Lines Exclusive Concession Rights Agreement for Advertising and Media Resources and the transactions contemplated thereunder to the Shareholders on or before 14 May 2021.

As additional time is required for the Company to prepare and finalise certain information in the Circular, the Company has applied for a waiver from strict compliance with Rule 14.41(a) of the Listing Rules (the "Waiver"), it is currently expected that the despatch of the Circular will be delayed to a date on or before 15 June 2021.

The Company has applied to the Stock Exchange for the Waiver. As at the date of this announcement, the Waiver has not been granted by the Stock Exchange, further announcement will be made by the Company as and when appropriate.
