          Appointment of Certain Officers; Compensatory Arrangements of Certain
          Officers.

On June 23, 2020, George McKeegan submitted his resignation from his positions as a member of the Board of Directors (the "Board") and general counsel of alpha-En Corporation (the "Company"), effective immediately. Mr. McKeegan did not resign as a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
