Bülach, le 16 septembre, 2021 - Vetropack Holding SA a été informée que Cornaz AG-Holding a vendu 1'983'000 actions nominatives A de Vetropack Holding SA au prix de 59.00 CHF par action. Dans le cadre de cette transaction, Cornaz AG-Holding a déposé une requête auprès de la Commission des OPA afin d'établir que Cornaz AG-Holding n'est pas soumis à une obligation de présenter une offre publique d'acquisition aux actionnaires de Vetropack Holding SA en raison de l'ensemble de la transaction qui entraîne des changements dans le groupe autour de Cornaz AG-Holding. Décision de la Commission des OPA

Dans sa décision du 10 août 2021 (publiée surwww.takeover.ch), la Commission des OPA a décidé ce qui suit:

  1. II est constaté que la sortie de Jean-Luc Cornaz de Cornaz AG-Holding par la vente, a Cornaz AG-Holding, des 145 actions qu'il détient dans cette société, suivie de l'annulation de ces actions par une réduction de capital de Cornaz AG-Holding, conformément aux projets d'accords soumis à l'examen de la Commission des OPA dans le cadre de la procédure, ne conduirait pas à l'obligation de présenter une offre publique d'acquisition aux actionnaires de Vetropack Holding SA.
  2. II est constaté que la réduction de la participation détenue par Marc-Antoine Cornaz au sein de Cornaz AG-Holding à concurrence de 18 actions de Cornaz AG-Holding, par la vente de ces actions à Cornaz AG-Holding, suivie de l'annulation de ces actions par une réduction de capital de Cornaz AG-Holding, conformément aux projets d'accords soumis à l'examen de la Commission des OPA dans le cadre de la procédure, ne conduirait pas à l'obligation de présenter une offre publique d'acquisition aux actionnaires de Vetropack Holding SA.
  3. Cornaz AG-Holding transmettra à la Commission des OPA une copie des contrats signés dans le cadre de la transaction visée aux chiffres 1 et 2 du présent dispositif, au plus tard trois jours après la signature.
  4. La présente décision ne sera publiée qu'après que la transaction visée aux chiffres 1 et 2 du présent dispositif aura été annoncée publiquement par Cornaz AG-Holding et / ou Vetropack Holding SA.
  5. Vetropack Holding SA publiera le dispositif de la présente décision au plus tard trois jours de bourse après l'annonce publique de la transaction visée au chiffre 4 du présent dispositif.
  6. La présente décision sera publiée sur le site internet de la Commission des OPA le jour de la publication par Vetropack Holding SA visée au chiffre 5 du présent dispositif.
  7. L'émolument à charge de Cornaz AG-Holding est fixé à CHF 20'000.
Opposition (art. 58 OOPA)

Un actionnaire qualifié peut former opposition contre la décision de la COPA. L'opposition doit parvenir à la COPA (Stockerstrasse 54, 8002 Zurich; fax: +41 44 283 17 40) dans un délai de cinq jours de bourse à compter de la date de publication de la décision de la COPA. Le premier jour de bourse après la publication de la décision de la COPA sur le site Internet de la COPA est le premier jour du délai. L'opposition doit contenir une conclusion et une motivation sommaire ainsi que la preuve de la participation qualifiée.
