MINUTES OF THE BOARD OF DIRECTORS' MEETING

HELD ON FEBRUARY 23, 2021

DATE, TIME AND VENUE: February 23, 2021, at 2:30 p.m., at Rua Peter Lund, 146/202, São Cristóvão, CEP 20930-390, in the City and State of Rio de Janeiro.

CALL NOTICE: A notice was sent to all members of the Board of Directors, pursuant to paragraph 1 of article 18 of the Company's Bylaws.

QUORUM AND ATTENDANCE: All members of the Board of Directors attended the meeting, which was held via video conference, as provided for in Article 18 of the Bylaws

PRESIDING: Sidney Levy (Chairman) and Maria Isabel Tavares (Secretary)

AGENDA: Appointment of new Statutory Director and dismissal of the HR Director

RESOLUTIONS: Starting the work, the board members began to examine the item on the agenda, and the following resolutions were taken by unanimous vote:

Appointment of new Statutory Director and dismissal of the HR Director: The Board Members decided for dimissal of the HR Director Mrs Patricia Piñeiro de Souza, taking effect from March 31, 2021. Mr. Ilson Bressan, Brazilian citizen, married, engineer, holder of identity card (RG) number 8.084.824, inscribed in the register of individual taxpayers (CPF/MF) under number 478.661.950-72, resident and domiciled at Rua Natalia Pereira, 129, Casa São João, Florianópolis, SC, was unanimously elected to hold the position of Statutory Director, responsible for the Commercial and Marketing área.

CLOSURE: There being nothing else to discuss, the meeting was adjourned, and these minutes were drawn up, read, approved and signed by the Board members.
