Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On January 4, 2021, Melendy E. Lovett, Executive Vice President and Chief Administrative Officer for Trinity Industries, Inc. ("Trinity" or the "Company"), notified Trinity of her intention to transition to retirement, effective July 4, 2021. Trinity plans to enter into a transition agreement with Ms. Lovett consistent with the terms of Trinity's executive officers' Transition Compensation Plan.
