           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On January 13, 2021, Tariq Farid resigned from the Board of Directors of Rocky Mountain Chocolate Factory, Inc. (the "Company"), effective immediately. Mr. Farid's decision to resign was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
