Notice Concerning the Filing of Lawsuits

NSK Ltd. and its subsidiaries, NSK Corporation, NSK Precision America, Inc. and NSK-AKS Precision Ball Company (collectively, the "Company") have received multiple lawsuits (the "Lawsuits") in the District Court of Texas in the United States.

1. Cause of Action and Circumstances Leading to the Filing of the Lawsuit

On March 17, 2019, a fire (hereinafter referred to as the "Fire") broke out at a petrochemical tank terminal owned by Intercontinental Terminals Company LLC ("ITC") in Houston, Texas, U.S.A. Residents living in the vicinity (the "Plaintiffs") of the Fire filed a lawsuit against ITC and other related parties, claiming that they suffered damage to their health and other losses due to the Fire. The Plaintiffs claim that our products were used in some of the equipment at the tank terminal and filed a lawsuit against the Company as well as other related parties.

In addition to the above four cases, at least ten lawsuits for damages similar to the lawsuits in question have been filed against the Company and its group companies by other multiple plaintiffs since January 13, 2021 in connection with the fire.

3. Description of Claims

The Plaintiffs allege that our products were used in the pumps in the tank terminal and that defects occurred in them, and they are claiming damages (or subrogation) against the Company, claiming that they have suffered damage as a result of this. The specific amount of the claim has not been disclosed.

4. Effects on NSK's Business Performance

The Company intends to contest the claims made by the Plaintiffs, asserting their legitimacy. In addition, there is a possibility that actions similar to the Lawsuits will be filed against us in the future in relation to this fire.

The impact of the Lawsuits on our business performance is unknown at this time, as they are all in the early stages. In the event that any matters requiring disclosure arise in the future, we will promptly make an announcement.
