Withdrawal of Item 6 (amendments to the Constitution) at Annual General Meeting

Newcrest Mining Limited (ASX, TSX, PNGX: NCM) advises that it has decided to withdraw item 6 (amendments to the constitution) referred to in the Notice of Meeting from consideration at the 2020 Annual General Meeting (AGM) to be held at 10:30am (Melbourne time) on Wednesday 11 November 2020.

The Company's existing constitution has not been updated since 2008. The proposed amendments were sought to update the constitution for developments in corporate governance practices, changes to Australian corporate law and the ASX Listing Rules and also to improve the efficient and flexible administration of the Company. However, we have decided to withdraw Item 6 because, based on the proxies received, Item 6 would not receive the 75% of votes required to pass.

The withdrawal of Item 6 will have no material adverse impact upon the current operations of the Company, and will not affect the validity of the proxy form provided in connection with the 2020 AGM or any proxy or direct votes already submitted in respect of the remaining items of business.

All other items of business included in the Notice of Meeting provided to shareholders will be put to shareholders at the meeting.
