Item 8.01. Other Events.

On September 28, 2022, Nasdaq, Inc. ("Nasdaq") issued a press release announcing that it will organize its business units into three divisions: Market Platforms, Capital Access Platforms, and Anti-Financial Crime. This new structure is designed to align Nasdaq more closely to the foundational shifts that are driving the evolution of the global financial system and evolving clients' needs.

A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
