According to JAS Asset Public Company Limited ("the Company") held the Annual General Meeting of Shareholders 2022 on Friday, 8 April 2022, approved the allocation of newly issued ordinary shares in the amount of not more than 250,000,000 shares with a par value of 1.00 baht per share for (1) offering to the existing shareholders in proportion to their respective shareholdings, without allocating to shareholders that would make the company have duties under foreign law ("The Offering to existing shareholders in proportion to their shareholding") in the amount of not more than 190,000,000 shares, with a par value of 1.00 baht per share, in an allotment ratio of 4.67435 ordinary shares; Existing to 1 newly issued ordinary share. by fixing the offering price of the newly issued ordinary shares at 4.25 baht per share, totaling the money received in the amount 807,461,558.75 baht (eight hundred seven million four hundred sixty one thousand five hundred fifty eight baht and seventy five satang). After deduction of expenses in this offering (excluding VAT or other taxes relevant) remaining 807,271,198.75 baht (eight hundred seven million two hundred seventy one thousand one hundred ninety eight baht and seventy five satang) (2) reserving for the exercise of rights to purchase ordinary shares under the warrants to purchase the Company's ordinary shares No. 2 (J-W2) which is allocated to the existing shareholders of the company who subscribe and receive the allotment of the newly issued ordinary shares and offered to the existing shareholders in proportion not exceeding 30,000,000 units. without considering the offering value (Offering price per unit is 0 baht) Exercise price is 6.25 baht per share and (3) reserving for the exercise of rights to purchase ordinary shares under the warrants to purchase the Company's ordinary shares No. 3 (J-W3) which is allocated to the existing shareholders of the company who subscribe and receive the allotment of the newly issued ordinary shares and offered to the existing shareholders in proportion not exceeding 30,000,000 units. without considering the offering value (Offering price per unit is 0 baht) Exercise price is 9.00 baht per share with a par value of 1.00 baht per share.
