Grupo de Moda SOMA S A : Notice to the Market - Approval of aquisition of Hering by CADE

Grupo de Moda SOMA S.A. ("Company") in complement to the notice of material fact released in April 26, 2021 about the association agreement between the Company and Cia Hering ("Operation"), hereby announces that, on this date the Superintendência Geral do Conselho Administrativo de Defesa Econômica ("CADE") published a clearance approving the Operation without restrictions. On the applicable legislation terms, the approval decision will become definitely under the term of 15 consecutive days from its publication, without any appeals from third parties or call back from the Court of CADE.
The Company informs, lastly, that the Operation is subject to the fulfillment of other foregoing conditions established in the Association Agreement and Other Accordance celebrated in April 26, 2021.
The Company will keep its shareholders and the market in general informed about the relevant advancements related to the Operation.
