Pursuant to Article 9 and the second subparagraph of Article 10 of the Securities Market Law, please be advised that today, Melhoramentos Ltda. ("Softys Brasil"), a subsidiary, agreed to purchase all of the shares in Carta Fabril S.A. ("Carta Fabril"), owned by the Coutinho family, hereinafter the "Transaction".
Carta Fabril was founded in 1991 and currently owns two plants, one in the State of Goias and another in the State of Rio de Janeiro, with the capacity to produce 100 thousand tons of tissue paper annually and 9 Personal Care lines that include baby diapers, adult diapers, feminine care products and wipes. It is a leader in the sale of tissue paper in the southeast of Brazil under renowned brands like Cotton. If the Transaction is completed, Softys Brasil will come to have an installed capacity of 380,000 tons of tissue paper annually combined with its existing operations in the State of Sao Paulo and the State of Paraná.
Consummation of the Transaction is subject to several usual conditions precedent, such as authorization from the Administrative Council for Economic Defense (Conselho Administrativo de Defesa Económica), which is required under Brazilian law.
The price agreed for the Carta Fabril shares is 1.138 million of reais, which will be paid to the sellers at the time of the Transaction closing that is expected to take place within the next 150 days if the conditions precedent are met. CMPC will be able to make such payment given its sound financial position.
