Announcement of the result of Piano Software B.V.'s offer for all shares in Cxense ASA

We refer to the offer document dated 12 August 2019 (the 'Offer Document') for the voluntary offer (the 'Offer') presented by Piano Software B.V. ('Piano' or the 'Offeror') for all the outstanding shares in Cxense ASA ('Cxense') and the announcement made by Piano on 27 September 2019 that the Offer was made unconditional and that no further extensions would be made. Piano hereby announces that, based in the numbers available today, the Offer as per expiry of the acceptance period on 1 October 2019 at 16:30 CEST received acceptances for 20,410,176 shares, representing 93.00% of the outstanding shares and votes in Cxense. As earlier communicated, the settlement of the Offer will be conducted on Wednesday 2 October 2019 and the tendering shareholders are expected to receive the cash consideration for the shares settled on or about Thursday 3 October 2019. The Offeror intends, as earlier communicated, to resolve a compulsory acquisition of all shares in Cxense not already owned by the Offeror as soon as possible after settlement of the Offer and well within the four-week deadline for the compulsory acquisition, cf. the Norwegian Securities Trading Act section 6-22 (3).
