Bayer SA is a Peru-based company principally engaged in the distribution and sale of chemicals, food colorings, pharmaceutical, veterinary and phytosanitary products. The Company’s business is structured in three areas: Bayer HealthCare, which comprises the commercialization of drugs used in the diagnostic, prevention and treatment of human diseases, as well as veterinary medical supplies; Bayer CropScience, which focuses on the marketing of crop and seeds protection products, biological control of crop parasites and plagues and other products used in the agricultural sector, and Bayer MaterialScience, which includes the import, distribution and sale of high-performance plastics and polymers used in the production of lacquers, adhesives and insulation materials. As of December 31, 2011, Bayer Gesellschaft fuer Beteiligungen mbH was the Company’s majority shareholder with 86.36% of its interest.
