NOTICE TO THE MARKET

Ambipar Participações e Empreendimentos S.A. ("Ambipar" or "Company") (B3: AMBP3), hereby announces to its shareholders and the overall market that it has completed the acquisition, on this date, of 70% of the share capital at ControlPar Participações S.A. ("ControlPar"), through its direct subsidiary Emergência Participações S.A.

ControlPar is a holding company that controlls 6 companies operating with environmental services, focussed on accident prevention, risk assessment and mitigation for environmental damage, such as: Environmental Licensing, Deployment of Environmental Programs, Geotechnology, Aerial Surveys, Oceanography, Hydrography, Computational Modeling, Management Systems (Environmental and Land), Industrial Environment.

The company was established in 2008 by its co-founders Fabricio Resende Fonseca, Biologist and MSc in Environmental Engineering and Gelcilio Coutinho Barros Filho, Oceanographer and MSc in Environmental Engineering, currently the Business Development Director and Technical Director, respectively. ControlPar has operations in Brazil, and is headquartered in Vitória-ES, as well as the commercial office in Natal-RN and operational bases in Serra-ES,Mossoró-RN and Catu-BA.

Over the past 12 years of its history, ControlPar group companies have delivered nearly 720 projects for various segments in the productive chain for Oil & Gas, Energy, Ports and Terminals, Infrastructure and Logistics, Mining, Steel, Petrochemicals, Sanitation, the Beverage Industry, and Paper and Pulp. The group currently has 450 employees, as well as an integrated Management system certified by ISO 9001, ISO 14.001, and ISO 45.000.

ControlPar, at this moment, becomes Ambipar Response Espírito Santo S.A., aiming to accelerate its growth, enhancing the synergy with the Ambipar Group in its business segments that are already consolidated, expanding and verticalizing its portfolio of environmental prevention services.

Growth Plan

The expansion plan for the coming months foresees investments in the expansion of the headquarter structure, as well as hiring professionals, and purchasing materials and equipment required for the following services to be delivered: investigation of contaminated areas, assessments, environmental licensing, monitoring, hydrography, and oceanography services.

This acquisition increases and strengthens Ambipar Response´s service portfolio in Brazil and internationally through its operations present in over 18 countries, as the Company presents a clear operational synergy for the development of engineering projects focused on industrial decommissioning and environmental accident prevention, adding on a robust technical multidisciplinary team. Specialists will provide environmental licensing services for industrial facilities, investigating contaminated areas, geoprocessing, and modeling for atmospheric and hydrodynamic plumes. In addition, the environmental risk assessments operations and contaminated area investigations at ControlPar will strategically walk hand in hand with the emergency response services at Ambipar Response, providing cutting edge tools for identifying contaminant plumes and remediation technologies on site for accidents on highways, railways, waterways, pipelines, and industrial plants.

The Company clarifies that this acquisition will not be submitted to its shareholders for approval, nor will it give rise to withdrawal rights, considering that (i) it was carried out through its subsidiary, which is privately held; and (ii) the price paid for the acquisition does not exceed one and a half times the highest amount among three values provided for in article 256, II of the Brazilian Corporation Law.
