Availability of documents to the Shareholders [22.10.20]

Alpha Bank S.A. (hereinafter the "Bank") would like to announce that, pursuant to article 63 of Law 4601/2019, the following documents are available to the Bank's Shareholders on its website (www.alpha.gr) as well as at its registered seat in Athens, 40 Stadiou Street:

1. the Draft Demerger Deed of the Bank,
2. the Transformation Balance Sheet of the hived-down banking business sector dated 30.6.2019,
3. the Report of the Board of Directors of the Bank to its Shareholders, which explains and justifies the Draft Demerger Deed,
4. the report on the verification of the book value of the net assets and liabilities of the hived-down banking business sector of the Bank as at 30.6.2020 and on the examination of the Draft Demerger Deed, drafted by the certified auditor, Harry Sirounis (SOEL Reg. no. 19071) of the audit company with the corporate name "KPMG Certified Auditors S.A.",
5. the annual financial statements and the Board of Directors' annual management reports of the Bank of the previous three (3) years,
6. the Semi Annual Financial Report for the period from 1st January to 30th June 2020.

The Bank's Shareholders are invited to take cognizance of the above documents, which shall remain available to them until the end of the General Meeting which will resolve on the demerger of the Bank.

The completion of the demerger is subject to the approvals of the General Meeting of Shareholders of the Bank, as required by law, as well as to all the necessary approvals by the competent Authorities.
