Pricing of Senior Notes

On November 19, 2020, The AES Corporation (the "Company" or "AES") issued a press release to announce the pricing of the previously announced private offering of its 1.375% senior notes due 2026 (the "2026 Notes") and 2.450% senior notes due 2031 (the "2031 Notes" and together with the 2026 Notes, the "New Notes"). The New Notes will be offered in the United States to qualified institutional investors pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act. A copy of the press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference in this Item 8.01 of this Current Report on Form 8-K.
