           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On November 4, 2021, Selim Antoine Bassoul resigned from the Board of Directors (the "Board") of 1847 Goedeker Inc. (the "Company"), effective immediately, due to unexpected commitments on his time that could not have been previously anticipated. Mr. Bassoul's resignation was not due to any disagreement with the Company on any matter relating to its operations, policies (including accounting or financial policies) or practices. The Company intends to add a highly-qualified director with strong governance and growth experience to the Board to fill the vacancy created by Mr. Bassoul's resignation in a manner consistent with the terms of the Cooperation Agreement dated October 15, 2021, by and among the Company, David L. Kanen, Philotimo Fund, LP, Philotimo Focused Growth and Income Fund and Kanen Wealth Management LLC.
