Item 7.01Regulation FD Disclosure.

On March 5, 2020, Sunstone Hotel Investors, Inc. (the "Company") issued a press release issued a press release announcing that, due to uncertainty related to the ultimate impact on travel demand resulting from the COVID-19 virus outbreak, the Company is withdrawing its first quarter and full-year 2020 guidance. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
