Mutual covenants between shareholders

not to sell SII Shares

On March 31, 2019, the members of the family-owned Huvé groupe (listed below) and the company's management board (directoire) entered into one mutual not to transfer their company's shares, under the provision of articles 787 B of the French General Tax Code ( Code Général des Impôts).

The convenants were entered into by:

-Bernard Huvé, Chairman of the Supervisory Board,

-Christiane Guillebaut,

-Alexia Slape,

-Alban Huvé,

-Arnaud huvé,

-Patrice Demay, Member of the Management Board,

-Eric Matteucci, Chairman of the Management Board.

Under the covenant, the above shareholders have mutually agreed not to sell an agregate of 10,421,257 shares held by them, accounting for 52.11 percent of the company's stock and 52.11 percent of voting rights.

The covenant is for the period of twenty-four months from their registration date, after which his term will automatically be extended from year to year. Each of the parties may elect not to extend the agreement three months prior to the end of a period.

This agreement is replacing previous ones signed on September 22, 2015 whose expiration has been notified to the company.
